Terms of Service

1. Acceptance of Terms

By accessing or using Amilere ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Amilere is a brand-intelligence and content-optimization platform that also operates a marketplace connecting creators and brands. We provide analytics, AI-powered content tools, audience insights, and a deal rail that lets brands and creators agree, fund, verify, and complete sponsorship deals. The Service is provided "as is" and we reserve the right to modify or discontinue features at any time.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service for any unlawful purpose, to violate any third-party rights, to transmit harmful or malicious content, to circumvent the marketplace or its fees (see "Anti-Circumvention"), or to attempt to gain unauthorized access to the Service or related systems.

4A. White-Label Deployments and Disclosure

If you deploy any Amilere-powered feature under your own brand (a white-label deployment), including client portals, prospect brand audits, diagnostic links, or shared reports, you must clearly and conspicuously disclose to every end recipient that the scoring methodology and brand audit are powered by Amilere. You may not represent the Amilere scoring methodology, the Brand Credit Score, or the brand audit as your own proprietary technology, and you may not remove, obscure, or alter the "powered by Amilere" attribution presented on prospect-facing pages. Amilere may suspend white-label access for deployments that misrepresent the source of the methodology.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We connect to third-party platforms (Instagram, TikTok, etc.) using read-only permissions. We never post on your behalf, sell your data, or share it with advertisers.

5A. Aggregated Analytics and Derived Data

In plain terms: Amilere may use your first-party business data to build anonymized, aggregated statistics, benchmarks, and market indices. These products never identify you or your accounts, we never sell your raw or individually identifiable data, and mathematical safeguards make it impossible to reverse-engineer your numbers from anything we publish. You can opt out at any time.

1. Authorization as Data Processor. By connecting your first-party commerce and payment platforms (including but not limited to Shopify and Stripe) to the Amilere Platform via OAuth, API keys, or developer credentials, you designate Amilere as your authorized data processor for that data. You retain full ownership of all underlying revenue, order, and payment records. You grant Amilere the limited right to access, extract, and process this first-party business data solely to (a) deliver the platform’s services to you and (b) generate the anonymized, aggregated products described in this Section.

2. Aggregated Financial Telemetry License. You grant Amilere a non-exclusive, worldwide, royalty-free license to use your first-party operational data, specifically settled transaction values, contract velocities, payment behavior, invoice performance, and derived marketing efficiency ratios, to construct and commercialize aggregated macro-economic benchmarks and market indices (collectively, the TACSI Products). This license is perpetual only with respect to aggregate statistics already published while your data was licensed; it is revocable going forward as described in the opt-out provision below. The license applies ONLY to first-party service data: transactions settled through the Service, commerce and website analytics you connect from your own properties, invoices and campaign outcomes recorded in the Service, and data you explicitly contribute. It applies only to data collected while these Terms are in effect and never retroactively.

3. Structural Safeguards. Every TACSI Product is subject to safeguards enforced in the system architecture itself: (a) Cohort floor: your metrics are only ever included in sector cohorts of at least fifty (50) distinct entities, and cohort sizes are disclosed only in bands; if a cohort falls below the floor, publication for that segment stops. (b) Differential privacy: published values carry mathematically calibrated noise under a fixed epsilon privacy budget, and period-over-period changes are computed from noised values only, which prevents subscribers from isolating or reconstructing any individual contributor’s performance through differencing or cumulative queries. (c) Schema gating: the institutional data schema is insert-only and restricted to sector-level facts; no field, column, or attribute in any sold product carries entity-level granularity.

4. Platform Data Exclusion. For the avoidance of doubt, this license strictly excludes data derived from third-party social media platform APIs (including but not limited to Meta, TikTok, and YouTube). No social platform-derived advertising or engagement metric is extracted, processed, or included in any commercialized institutional data product.

5. Opt-Out and Deletion. You may revoke this aggregation license at any time by contacting legal@amilere.com. Upon receipt, Amilere will exclude your entity from all future aggregate computations within forty-eight (48) hours. Statistics already published in anonymized, aggregated form cannot be recomputed to remove a single contributor; your historical contributions remain protected inside the differential privacy budget. Revocation does not affect your use of the platform’s own features. Nothing in this Section diminishes your rights to access, correct, or delete your personal data as described elsewhere in these Terms and in our Privacy Policy. There is not currently a self-serve toggle for this opt-out; requests are honored on a going-forward basis.

6. Subscription and Billing

Paid subscription plans are billed monthly or annually. You may cancel at any time. Refunds are not provided for partial billing periods. We reserve the right to change subscription pricing with 30 days notice. Subscription fees are separate from the marketplace Service Fee described below.

7. Marketplace: Our Role (Not a Bank or Escrow Agent)

Amilere is a technology platform and marketplace that facilitates deals between brands and creators. Amilere is NOT a bank, money transmitter, payment institution, fiduciary, or licensed escrow agent, and does not provide banking or escrow services. All payments, fund-holding, and payouts are processed by our third-party payments partner, Stripe, through Stripe Connect. Funds related to deals are held and moved by Stripe and are never deposited into, commingled with, or controlled from Amilere’s own bank accounts. Your use of payment features is additionally governed by the Stripe Connected Account Agreement (including the Stripe Services Agreement), which you accept during onboarding.

8. Service Fee

Amilere charges a service fee of 5% of the agreed creator compensation for each deal completed through the marketplace. This fee is added on top of the creator’s compensation as a buyer-side surcharge: the brand pays the agreed compensation plus the 5% fee, and the creator receives the full agreed compensation (subject to any holdback described below). The fee is disclosed before a deal is funded. We may change the fee prospectively with notice; the fee in effect when a deal is funded governs that deal.

9. Funding, Holdback, Release & Payouts

Brands fund a deal before work begins; funds are held by Stripe pending completion. When the agreed deliverable is verified, the creator is paid out, less any holdback. A portion of the creator’s compensation (the "holdback") may be withheld until a minimum live-duration requirement is met (e.g., the sponsored post remains live and compliant for a set period), then released. Payout timing, release conditions, holdback, refunds, and cancellation rules are detailed in our Payout Terms, which form part of these Terms.

10. Verification & Disputes

Deliverables are confirmed through an optimistic verification process with a challenge window during which either party may dispute the outcome. Raising a dispute may require posting a refundable dispute bond proportional to the amount in dispute, to discourage frivolous claims; the bond is returned to the prevailing party. We may use automated and manual review to resolve disputes. Where a dispute cannot be resolved through the platform process, it will be handled under the governing-law and dispute-resolution terms below.

11. Disclosures (Sponsored Content / #ad)

Creators are solely responsible for complying with applicable advertising-disclosure laws and platform policies (including the U.S. FTC Endorsement Guides and equivalent rules in other jurisdictions). Sponsored content arranged through the marketplace must be clearly disclosed (e.g., #ad). The platform may require and enforce disclosure as a condition of payout.

12. Anti-Circumvention

Once parties are introduced or transact through the marketplace, you agree not to take the relationship off-platform to avoid the Service Fee for deals that originate from Amilere. Attempting to circumvent the marketplace or its fees may result in fees becoming due, suspension, or termination.

13. Taxes

You are responsible for determining and paying any taxes that apply to your earnings or purchases. Creators receiving payouts may be required to provide tax information (e.g., W-9 or W-8) to Stripe, and Stripe may issue tax forms (such as a 1099-K) where required by law. Amilere does not provide tax advice.

14. Intellectual Property

Amilere and its original content, features, and functionality are owned by Amilere and are protected by international copyright, trademark, and other intellectual property laws. Content you create or upload remains yours; you grant us a limited license to host and display it as needed to operate the Service.

15. Limitation of Liability

To the maximum extent permitted by law, Amilere shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service, including any acts or omissions of Stripe, brands, creators, or other users. Amilere’s aggregate liability for any claim is limited to the fees you paid to Amilere in the 12 months preceding the claim.

16. Termination

We reserve the right to terminate or suspend your account at our discretion, with or without notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties. Funds already in process will be handled according to the Payout Terms and Stripe’s applicable agreements.

17. Governing Law & Changes

These Terms are governed by the laws of the applicable jurisdiction in which Amilere operates [jurisdiction to be confirmed by counsel]. We may update these Terms from time to time; material changes will be notified, and continued use constitutes acceptance.
